OpenRopes Terms of Service

Welcome to OpenRopes. These Terms of Service ("Terms," and together with any applicable supplemental terms, this "Agreement") describe the conditions that apply to your use of the website located at openropes.com and its subdomains, any mobile applications we offer, and the services, content, and resources available on or through them (collectively, the "Service"), operated by OpenRopes ("OpenRopes," "we," "us," or "our").
This Agreement applies to two types of users: Consumers — individuals who purchase tickets, bookings, or other items through the Service — and Event Organizers — individuals or entities who host, promote, or manage events, deals, or classes through the Service.
Please read this Agreement carefully. By accessing or using the Service in any way — including browsing events, purchasing a ticket or booking, creating an account, or submitting an event through Launch Event — you represent that: (1) you have read, understand, and agree to be bound by this Agreement; (2) you are of legal age to form a binding contract with OpenRopes; (3) you are not barred from using the Service under the laws of the United States or any other applicable jurisdiction; and (4) if you are acting on behalf of an entity, you have the authority to bind that entity to this Agreement. If you do not agree to this Agreement, you may not access or use the Service.
1. Eligibility
You must be at least 18 years old to create an account or make a purchase on OpenRopes. If an event you are purchasing tickets for serves alcohol or otherwise has an age restriction, you must meet that event's specific age requirement and may be required to show valid government-issued identification at the door. OpenRopes and Event Organizers reserve the right to refuse entry to anyone who cannot provide valid ID matching the ticket holder's name.
2. Our Role as a Platform
OpenRopes provides a technology platform that allows Event Organizers to list events, deals, and classes, and allows Consumers to discover and purchase tickets or bookings for them. Except where an event is explicitly hosted and operated by OpenRopes itself, OpenRopes is not the organizer, host, or operator of the events, deals, or classes listed on the Service, and is not a party to the transaction between a Consumer and an Event Organizer beyond facilitating the sale.
This means:
- OpenRopes does not guarantee the accuracy of any event description, date, time, venue, pricing, or other details provided by an Event Organizer.
- OpenRopes is not responsible for an event being cancelled, rescheduled, or changed, or for an Event Organizer's failure to deliver the experience as advertised.
- Event Organizers are solely responsible for obtaining any licenses, permits, or authorizations required to legally host their event, and for complying with all applicable laws, including venue capacity limits, health and safety codes, and alcohol service regulations.
3. Account Registration
To purchase tickets or list events, you may need to create an account or verify your identity via a one-time code sent to your email. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of any credentials associated with your account and for all activity that occurs under it. Notify us immediately at support@openropes.com if you suspect unauthorized use of your account.
4. Purchasing Tickets and Bookings
4.1 Order Process. Submitting an order through the Service creates a binding obligation to pay the listed price plus any applicable service fees and taxes. You will receive a confirmation email with your order details and, for ticketed events, a QR code ticket for entry.
4.2 Pricing and Fees. Ticket prices are set by Event Organizers. OpenRopes may add a separate service fee, displayed at checkout before you complete your purchase.
4.3 Payment Processing. Payments are processed through Stripe, a third-party payment processor, subject to Stripe's own terms of service. OpenRopes does not store your full payment card details.
4.4 All Sales Are Final. Except as required by law or as otherwise stated in a specific event's listing, all ticket and booking sales are final and non-refundable. If an event is cancelled by the Event Organizer, refund eligibility and process will be communicated by OpenRopes or the Event Organizer directly.
4.5 Ticket Transfers and Resale. Tickets are personal to the purchaser unless the Event Organizer's listing states otherwise. Reselling tickets for a profit, or using automated tools to purchase tickets in bulk, is prohibited and may result in ticket cancellation without refund.
5. Assumption of Risk
Attending a nightlife event, dining experience, or wellness class involves inherent risks, which may include physical activity, crowded venues, exposure to alcohol service, and interaction with other attendees. By purchasing a ticket or booking through OpenRopes, you voluntarily assume all risks associated with attending the event, to the fullest extent permitted by law, and agree to comply with all rules, instructions, and directions given by the Event Organizer, venue staff, or security personnel.
6. Event Organizer Responsibilities (Launch Event)
If you use Launch Event to list your own event, you represent and warrant that:
- You have the legal right and any required permits or licenses to host the event as described;
- All information you submit is accurate and not misleading;
- You will honor tickets sold through OpenRopes and admit valid ticket holders;
- You are solely responsible for the conduct of your event and compliance with applicable law;
- You will not use OpenRopes to promote any illegal activity.
OpenRopes reserves the right to remove any event listing or Event Organizer account at our sole discretion, including for events that appear fraudulent, unsafe, or in violation of these Terms.
7. Content You Submit
When you upload a flyer, description, photo, or other content to OpenRopes, you retain ownership of it, but grant OpenRopes a non-exclusive, worldwide, royalty-free license to display and use that content to operate and promote the Service. You represent that you own or have the necessary rights to any content you submit.
8. Prohibited Conduct
You agree not to: use the Service for any unlawful purpose; circumvent ticket purchase limits or use bots; upload defamatory or infringing content; interfere with or attempt unauthorized access to our systems; impersonate any person; or collect other users' personal information without consent. We reserve the right to suspend or terminate access to the Service for anyone who violates these Terms.
9. Third-Party Links and Services
The Service may link to third-party sites, including Event Organizer pages, venue websites, or payment processors. OpenRopes does not control and is not responsible for the content, policies, or practices of any third party.
10. Disclaimer of Warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. OpenRopes does not warrant that the Service will be uninterrupted or error-free, or that any listed event will occur as described.
11. Limitation of Liability
To the fullest extent permitted by law, OpenRopes and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service or attendance at any event. OpenRopes's total aggregate liability to you for any claim arising from this Agreement is limited to the amount you paid to OpenRopes in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100), whichever is greater. This limitation does not apply where prohibited by law, including for gross negligence, willful misconduct, or death or personal injury caused by OpenRopes's negligence.
12. Indemnification
You agree to defend, indemnify, and hold harmless OpenRopes and its officers, employees, and affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of this Agreement; (c) your violation of any law or third-party right; or, if you are an Event Organizer, (d) your event, including any injury, damage, or dispute arising from it.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of this Agreement. You may close your account at any time by contacting support@openropes.com. Provisions that by their nature should survive termination (including Sections 5, 10, 11, and 12) will continue to apply.
14. Changes to These Terms
We may update this Agreement from time to time. Material changes will be reflected by an updated "Last Updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.
15. Governing Law
This Agreement is governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute will be resolved in the state or federal courts located in New York, and you consent to the jurisdiction of those courts.
